Sagacity Secure Transfer Portal Terms of Use


General

The following terms set out a legal agreement between you and Sagacity Solutions Ltd for the use of Sagacity’s Secure Transfer Portal.

Your use of this site is subject to the Terms of Use set out below (together with any documents and policies referred to herein). Please read these Terms of Use carefully before accessing any further pages on this site. Your use of this site is conditional upon your acceptance of these Terms of Use. If you do not agree to be bound by these Terms of Use, please do not use the site or continue with your registration.

By registering to use the Secure Transfer Portal you acknowledge that you have read, understood and agree to be bound by these Terms of Use including compliance with all applicable laws and regulations, and Sagacity’s Secure Transfer Portal Privacy Policy.

Sagacity Solutions may from time to time, without notice to you, revise these Terms of Use.

Description of Services

The Secure Transfer Portal has been solely set up for registered users to securely send and receive files to allow Sagacity to perform its obligations to its clients.

All files received via the Secure Transfer Portal, irrespective of their country of origin, unless expressly agreed under a separate commercial arrangement, will be stored in Sagacity’s AWS instance hosted in the UK and managed under appropriate UK Data Protection Laws including but not limited to the Data Protection Act 2018 and the General Data Protection Regulation 2018.

Ownership and Copyright

This site is owned and operated by Sagacity Solutions Limited which is a company registered in England and Wales, Company Registration Number: 05526751, with a registered office at 55 Baker Street, London, W1U 7EU.

Sagacity’s Secure Transfer Portal site and content may not be copied, reproduced, republished, uploaded, posted, transmitted, distributed, or used without Sagacity Solutions Ltd’s prior written consent.

All intellectual property rights associated with Sagacity’s Secure Transfer Portal remain at all times with Sagacity Solutions Ltd.

Sagacity grants a non-exclusive, non-transferable, temporary royalty free licence to each registered user to use the Secure Transfer Portal solely for the purpose of transferring information in accordance with our client’s agreed Statements of Work.

There will be no transfer of title or intellectual property rights by either party as a result of the use of the Secure Transfer Portal. Ownership and intellectual property relating to the content loaded and download via the site will remain a matter for the signed Statement of Work.

Sagacity shall be entitled to use and/or develop the knowledge, experience and skills gained in the course of the provision of the Services to provide and enhance its provision of services.

 

Access

Access to this site is strictly permitted to registered users only, on a temporary license basis. For compatibility and security reasons, Sagacity’s Secure Transfer Portal should only be accessed and used from a computer, or laptop. The service and site will not work with mobile devices, including both mobile phones and tablets.

Sagacity reserves the right to withdraw access to the site at any time by providing six weeks’ notice to the Registered User. Where the Registered User fails to comply with the Terms of Use, access will be immediately withdrawn to the site without prior notice.

Sagacity accepts no liability in the event that the Secure Transfer Portal is unavailable, except where liability is expressly stated within an individual Statement of Work.

Security & Data Privacy

Sagacity Solutions will implement reasonable and appropriate measures designed to help secure your content against accidental or unlawful loss, access or disclosure;

Back-Up:

Your content will be backed up on a regular basis to ensure that data can be recovered if an incident was to occur.

Encryption:

Your Content will be encrypted during transit to and from Sagacity Solutions. Your Content will also be encrypted at rest while being stored for the service agreed upon.

Monitoring:

Sagacity Solutions regularly monitors its network to ensure that the services offered do not suffer from any impacts caused by incidents and to maintain the confidentiality, availability and integrity of your content.

Retention:

Sagacity Solutions will only retain your files for the required time necessary for the service to be provided. This will be agreed within the commercial arrangements and Statements of Work between Sagacity Solutions and yourself. All data that is made available for transfer between Sagacity Solutions and you will be available for 30 days unless variations have been expressly agreed as part of our commercial arrangements. If specific retention periods have not been agreed, Sagacity Solutions will apply its own internal policy to your content. The service will be delivered using AWS and your content will be stored within an AWS London Region. We will not access or use your content except as necessary to maintain or provide the service agreed within your commercial arrangements.

We will only use your registered user information in accordance with the Secure Transfer Portal Privacy Policy, provided in the site. The Privacy Policy applies to your registered user information only.

Registered User’s Responsibilities

Except to the extent caused by our breach of this Agreement, you are responsible for all activities that occur under your account, regardless of whether the activities are authorised by you or undertaken by you, your employees or a third party (including your contractors, agents or End Users), Sagacity is not responsible for unauthorised access to your account.

Your log-in credentials either generated by the service or created by you are for your use only and you will not share, sell, transfer or sublicense them to any other entity or person. If you believe that your credentials have been disclosed or compromised, it is your responsibility to inform Sagacity of this immediately by contacting us at sagacity-support@sagacitysolutions.co.uk

It is your responsibility to ensure that both users and content will not violate any policies or applicable laws including but not limited to the Data Protection Act 2018 and the General Data Protection Regulation 2018.

When loading files which contain PII data, it is your responsibility to ensure that you have the appropriate permissions to allow you to share PII data with Sagacity using the Secure Transfer Portal.

You acknowledge and agree that the files you upload to the Secure Transfer Portal do not contain data, text, graphics, content, or material that:

  • is sensitive data as described by the General Data Protection Regulation 2018;
  • is false or misleading;
  • is defamatory;
  • invades another's privacy;
  • is obscene, pornographic, or offensive;
  • is discriminatory based on race, gender, colour, religious belief, sexual orientation, disability;
  • facilitates illegal activity;
  • promotes unlawful violence
  • is otherwise illegal or causes damage or injury to any person or property
  • infringes another's rights, including any intellectual property rights; or
  • violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability; Send copyrighted material without the owner’s consent; Attempt to disrupt the access of any user, host or network by spamming, overloading or trying to send a virus; Attempt to breach any of the security authentication measures; Sagacity Solutions may involve and cooperate with law enforcement authorities in prosecuting users who violate these Terms of Use.

    Sagacity Solutions does not pre-screen uploaded content but has the right (but not the obligation) in its sole discretion to refuse or remove any content that is considered to be in violation of your responsibilities.

    Entire Agreement

    These Terms of Use together with our Secure Transfer Portal Privacy Policy, your commercial agreements and statements of work, constitute the entire agreement between Sagacity Solutions and yourself in relation to your use of our site and service and supersede all previous agreements in respect of such use.
